Legal basis of the SmartLandlord partner programme

These Partner Terms govern the cooperation between Smart Landlord LTD and self-employed partners. Partners may recommend SmartLandlord to their clients – there is no obligation to do so.

SmartLandlord remunerates successful referrals with commissions and provides all partners with permanently free access to the Enterprise package, a partner dashboard and marketing materials. From the Bronze tier upwards, SmartLandlord may in addition assign pre-qualified enquiries from landlords (warm leads) to the Partner; there is no entitlement to a particular volume of leads (§3.5). As the number of referred customers rises, the commission and further benefits increase.

These Terms define the mutual rights and obligations and the commission structure.

Contracting parties

These Partner Terms govern the cooperation between:

and the Partner, whose details are stated in the registration form.

The aim is cooperation on an equal footing for mutual benefit: the Partner decides freely whether and to what extent to recommend SmartLandlord. SmartLandlord remunerates successful referrals with commissions and provides the Partner with tools and marketing materials; from the Bronze tier upwards, SmartLandlord may in addition assign pre-qualified enquiries (warm leads) to the Partner in accordance with §3.5.

§1 Subject matter of the Terms

The Partner may recommend SmartLandlord services and receives a personalised voucher code for this purpose. The Partner acts for SmartLandlord as a self-employed trader / entrepreneur within a referrer (Tippgeber) or affiliate relationship. The Partner is neither a commercial agent within the meaning of § 84 HGB nor an employee, authorised dealer or franchisee of SmartLandlord. There is no obligation to engage actively in referral or brokerage activity. The Partner has no power to conclude contracts or to represent SmartLandlord and is not entitled to conclude contracts, conduct contract negotiations or make binding declarations in the name or for the account of SmartLandlord.

The Partner is under no obligation to broker business on a continuous basis. The Partner determines the time, place and extent of the referral activity on the Partner's own responsibility. The provisions of §§ 84 ff. HGB and analogous provisions of EEA commercial agency law do not apply. In particular, on termination of the contract the Partner has no claim to compensation (Ausgleichsanspruch) analogous to § 89b HGB / § 24 HVG.

Attribution of referrals: A referred customer is attributed to the Partner if the customer registers via the Partner's personal referral link or enters the Partner's personalised voucher code at registration or when first taking out a paid subscription. Attribution via the referral link requires that the customer has allowed the cookies needed for it and registers within 180 days in the same browser. Registrations made neither via the referral link nor with the voucher code cannot technically be attributed and give rise to no claim to remuneration. Subsequent attribution is not possible.

§2 Obligations of the Partner

2.1 Referrals are voluntary

The Partner decides freely whether, when and to what extent to recommend SmartLandlord. There is no obligation to promote it or to reach a particular number of referrals. The scope and benefits of the partnership depend solely on the partner tier as set out in §4. Inactivity leads neither to termination of the contract nor to loss of access to the Enterprise package.

Where the Partner recommends SmartLandlord, the Partner uses only factually accurate statements on the scope of services, prices and results, and the Partner's personalised voucher code.

2.2 Partner's details

At registration the Partner provides the following details and keeps them up to date:

No further evidence is required for registration or for use of the partner dashboard, the voucher code and the Enterprise package.

When a commission claim arises for the first time, SmartLandlord requests the details required for payout and tax processing (billing address, tax identification number or VAT identification number, bank details). Until these details are provided, the commission balance remains on the partner account; it does not expire.

2.3 Usage guidelines

Compliance with the usage guidelines for partner seals and marketing materials. Partner seals may only be used for the tier currently assigned to the Partner.

§3 Obligations of SmartLandlord

3.1 Technical provision

3.2 Financial processing

Commissions are paid out monthly by bank transfer from a minimum balance of €100. If the balance does not reach the minimum threshold in a month, it is carried over to the following month and does not expire. On termination of the contract, any remaining balance is paid out regardless of the minimum threshold.

3.5 Warm leads and lead assignment

From the Bronze tier upwards, SmartLandlord may assign pre-qualified enquiries from landlords (warm leads) to the Partner via the AI recommendations. Assignment is based on the service area the Partner has specified, the Partner's service category and partner tier. The higher the partner tier, the higher the priority in assignment.

Whether and how many enquiries are assigned depends solely on whether users of the platform express a corresponding need in the Partner's service area and consent to their data being passed on. SmartLandlord has no influence on the number, quality or timing of these enquiries.

§4 Commissions and partner tiers

Commissions and further benefits are graduated according to the number of customers referred by the Partner who have an active, paid subscription. The Partner's remuneration consists of a one-time sign-up commission for the first paid subscription of a referred customer (§4.3) and an ongoing revenue share in that customer's further payments (§4.4).

The basis of assessment for the sign-up commission (§4.3) is the list price of the package booked by the referred customer for the chosen term – the monthly or annual price as shown on the SmartLandlord website at the time the subscription is taken out. Discounts the customer receives, for example via the Partner's voucher code, do not reduce the sign-up commission. The basis of assessment for the revenue share (§4.4) is the amount actually paid by the customer with the respective payment.

Customer payments that are refunded as a result of a chargeback, rescission, withdrawal, avoidance or other reversal do not form part of the basis of assessment. In the event of a subsequent reversal or non-payment by the customer for which SmartLandlord is not responsible, the commission claim lapses retroactively; commissions already paid out are offset against existing commission balances or must be repaid.

The commission claim arises only once the customer has paid the invoice amount in full and the payment can no longer be contested.

Applicable conditions: The commission rates applicable at the time and the customer numbers for the individual partner tiers are published in the commission overview at https://www.smartlandlord.de/partners/ and in the partner dashboard and form part of these Terms. SmartLandlord may adjust these conditions in accordance with §13.

Relevant point in time: Each referral is subject to the conditions that were published at the time of the referral. SmartLandlord archives all published versions of the commission overview with their validity date and makes them available to the Partner on request.

No minimum number of referrals is required.

Bronze partner

First commission tier: Bronze seal, dofollow backlink, listing in the partner directory, assignment of warm leads under §3.5, basic marketing materials. Enterprise package and partner dashboard included, as in all tiers.

Silver partner

Increased commission, prioritised support, Silver seal, extended marketing materials, higher priority in lead assignment (§3.5), dofollow backlink.

Gold partner

Highest commission, premium support with a personal hotline, Gold seal, exclusive marketing materials, highest priority in lead assignment (§3.5), invitation to partner events, an exclusive blog article with contextual backlinks and a presence on the main landing page.

4.1 Payout conditions

Payout monthly by bank transfer from a balance of €100. The sign-up commission arises as soon as the customer attributed to the Partner has used the platform (at least 1 AI token consumed) and – with annual payment – the customer's first subscription payment has been received or – with monthly payment – the customer has paid for 3 months (§4.3). The revenue share arises with each further payment received under §4.4.

4.2 Tier classification, upgrades and downgrades

The partner tier is reviewed monthly on the basis of the number of active referred customers and the published tier thresholds. An upgrade takes effect immediately.

A downgrade takes place only once the threshold has not been met in three consecutive months, and is announced to the Partner by email 30 days in advance.

Access to the Enterprise package remains unaffected by any downgrade.

4.3 Sign-up commission (once per customer)

For the first paid subscription of a referred customer the Partner receives, once only:

  • with annual payment, the annual price of the booked package divided by 6 (Bronze), 5 (Silver) or 4 (Gold);
  • with monthly payment, 1.5 times (Bronze), 2 times (Silver) or 2.5 times (Gold) the monthly price; it falls due as soon as the customer has paid for 3 months, and is then credited in a single amount.

The decisive tier is the partner tier at the time the sign-up commission arises. Until then, the Partner receives for this customer the credit under §4.6 and the revenue share under §4.4. The renewal, change or expansion of an existing subscription does not trigger a further sign-up commission.

4.4 Revenue share (ongoing)

From payment no. 2 of a referred customer onwards, the Partner receives 5 % of each further subscription payment received from that customer, for as long as the customer pays and the partnership exists.

4.5 Early termination with monthly payment

If the subscription of a customer paying monthly ends before 3 months have been paid, no sign-up commission arises. Revenue shares already credited and the credit under §4.6 remain with the Partner. If the customer later takes out a subscription again and reaches 3 paid months in total, the sign-up commission arises at that point.

4.6 Credit for referred registrations

For each person who registers with SmartLandlord via the Partner's voucher code or referral link and confirms their email address, the Partner receives a credit of €1 to the Partner's commission balance – regardless of whether a paid subscription is taken out later. The credit arises only once per referred person; no credit arises for the Partner's own account. §9 (protection against abuse) applies accordingly.

§5 Free access to the Enterprise package

All partners receive free access to the Enterprise package – regardless of the partner tier and regardless of whether and how many customers are referred. Access continues even during prolonged inactivity and ends solely on termination of the partner contract.

Scope of services. The scope of services of the Enterprise package as published on the SmartLandlord website at the time applies, including the quotas stated there (among others for the number of managed properties, AI analyses, AI tokens and PDF reports). The free access covers these quotas; use beyond them and paid add-on options must be paid for separately by the Partner.

If SmartLandlord changes the scope of services of the Enterprise package, §13 applies accordingly.

If the contract ends, the end of access is announced 30 days in advance. During this period the Partner can export the Partner's data and the analyses created.

§6 Use of partner seals and marketing materials

6.1 Partner seals

Partner seals (Bronze, Silver, Gold) are available in the partner dashboard from the respective tier and may be used during the partnership on websites, flyers, email signatures or social media.

6.2 Marketing materials

6.3 End of use

After termination of the contract, the right to use partner seals ends. If the Partner is downgraded, the seal of the previous tier may continue to be used for a further 30 days to allow changes to the website and printed materials. Some marketing materials remain usable on request.

7.1 Standard backlinks

Partners from the Bronze tier upwards receive a dofollow backlink from our partner page with company name and website link.

7.2 Premium backlinks for Gold partners

7.3 Duration of the backlinks

The backlink remains in place for the duration of the partnership.

In the event of suspension for abuse under §9, the backlink may be removed immediately.

§8 Registration process

The registration process takes four simple steps:

  1. Registration: Sign-up at /signup with email confirmation (double opt-in)
  2. Partner registration: Acceptance of the digital Partner Terms
  3. Review: SmartLandlord reviews the documents and the Terms, followed by activation
  4. Customer acquisition: Use of the personalised voucher code for customer discounts, integration of SmartLandlord reports, tracking of commissions in the partner dashboard

§9 Protection against abuse

9.1 Impermissible practices and procedure

SmartLandlord analyses the use of the partner programme in order to detect and prevent abuse.

If one of these practices is suspected, SmartLandlord informs the Partner and gives the Partner 14 days to respond. If the breach is confirmed, the commission claims arising from the referrals concerned lapse; commissions already paid on them may be reclaimed. In the event of serious or repeated breaches, SmartLandlord may suspend the Partner and terminate the contract without notice. Commission claims arising from referrals that have not been objected to remain in place in every case.

9.2 Conspicuous cancellation patterns

SmartLandlord analyses the cancellation rates of referred customers. Where patterns are conspicuous, SmartLandlord reserves the right to take the following measures:

Legal action if intentional abuse is proven

An above-average cancellation rate alone does not justify an accusation of abuse.

§10 Term and termination

10.1 Start of contract and term

The contract begins upon acceptance and runs for an indefinite period. There is no minimum term or minimum activity. SmartLandlord does not terminate the contract because of the Partner's inactivity.

10.2 Termination by either party

Either party may terminate with 30 days' notice in text form.

10.3 Termination by SmartLandlord for good cause

In the event of serious breaches under §9, SmartLandlord may terminate the contract without notice or suspend the Partner, after a prior hearing in accordance with §9.1. Where there is imminent danger, access may be suspended provisionally; the hearing is then held subsequently without delay.

10.4 Consequences of termination

On termination

Commission claims that have already arisen but not yet been paid out remain in place and are paid out in accordance with §3.2, regardless of the minimum payout threshold. Access to the Enterprise package ends 30 days after the termination takes effect; data and analyses can be exported during this period. The rights to use partner seals end.

§11 Liability

11.1 Liability

SmartLandlord is liable without limitation for intent and gross negligence and for injury to life, body or health. In the case of ordinary negligence, SmartLandlord is liable only for the breach of material contractual obligations, limited to the foreseeable damage typical for this type of contract. Material contractual obligations are those whose fulfilment makes the proper performance of the contract possible in the first place and on whose observance the Partner may regularly rely. In all other respects, liability is excluded.

11.2 Indemnification

The Partner is responsible for the lawful use of the materials and indemnifies SmartLandlord against third-party claims in so far as these are based on a culpable breach of duty by the Partner. SmartLandlord informs the Partner without delay of any claims asserted and gives the Partner the opportunity to defend against them.

§12 Data protection

12.1 GDPR (DSGVO) compliance

Both parties undertake to comply with the GDPR.

12.2 Data processing by the Partner

The Partner may process personal data only within the scope of the customer referral and in accordance with the statutory requirements.

12.3 Allocation of roles

When pre-qualified enquiries (warm leads) are passed on to the Partner, both parties act as separate, independent controllers within the meaning of the GDPR. The data are passed on solely on the basis of the consent of the user concerned. The Partner processes the data passed on under the Partner's own responsibility and solely for the purpose of making contact and preparing an offer.

In so far as the Partner, by way of exception, acts for SmartLandlord subject to its instructions, SmartLandlord provides a data processing agreement in accordance with Art. 28 GDPR on request.

§13 Changes to the Terms

SmartLandlord may change the contract with 30 days' advance notice in text form. The Partner may terminate within this period if the Partner does not agree with the changes.

Changes to the commission overview.

Partners are informed of every change by email.

Changes to the Partner's disadvantage are announced 30 days before they take effect. The Partner may terminate the contract within this period. A change to the Partner's disadvantage is any reduction of a commission rate, any increase of a tier threshold and any change that does not operate exclusively in the Partner's favour.

Changes exclusively in the Partner's favour – in particular the increase of a commission rate or the reduction of a tier threshold – take effect without a notice period.

§14 Final provisions

14.1 Applicable law and place of jurisdiction

German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. The exclusive place of jurisdiction for disputes with merchants is Munich; SmartLandlord is also entitled to sue the Partner at the Partner's general place of jurisdiction. Before taking legal action, both parties seek an out-of-court settlement.

14.2 Severability clause

Invalid provisions do not affect the validity of the remaining clauses. An invalid provision is replaced by the statutory rule.
